Terms of Service
These Terms of Service ("Terms") govern your access to and use of the PORTIQA website and API (the "Service") operated by PORTIQA ("we", "us"). By creating an account or calling the API, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally able to enter into a contract in your jurisdiction. If you sign up on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
PORTIQA exposes a portfolio evaluation engine via a single HTTPS endpoint (POST /evaluate). The Service is offered on subscription tiers described on the pricing page. Each tier includes a monthly call quota and a per-evaluation ticker cap; requests above either limit return an HTTP error.
3. Accounts and API keys
You are responsible for safeguarding your login credentials and API keys. Treat API keys like passwords — never embed them in client-side code or public repositories. You are responsible for all activity that occurs under your keys. If you suspect a key is compromised, rotate it immediately from your dashboard.
4. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the proprietary models behind the Service.
- Use the Service to build a directly competing product or to systematically resell raw outputs.
- Submit data you do not have the right to submit, or data that is unlawful, defamatory, or infringes third-party rights.
- Probe, scan, or stress-test the Service without prior written consent.
- Attempt to circumvent rate limits or plan quotas.
5. Fees and billing
Subscription fees are billed in advance via Stripe on the cycle you select (monthly or yearly). Plan changes take effect immediately and are prorated automatically. You can cancel at any time from your dashboard; see the Cancellation & Refunds Policy for details.
6. Service level
We target 99.9% monthly uptime for paid tiers. Free-tier access is best-effort. Scheduled maintenance is announced in advance where practical. We are not liable for downtime caused by sub-processors, internet routing, or events outside our reasonable control.
7. Intellectual property
The Service, including the evaluation engine, datasets, scoring models, and all content on portiqa.ai, is and remains the property of PORTIQA. We grant you a limited, revocable, non-transferable license to use the API output within your own products, subject to these Terms.
You retain ownership of the input data you submit. By submitting data, you grant us a non-exclusive license to process it solely to deliver the Service to you.
8. No investment advice
PORTIQA outputs are quantitative analysis for informational purposes only. They are not investment advice, financial advice, a recommendation, or an offer to buy or sell securities. See our Financial Disclaimer for the full statement.
9. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any output is accurate, complete, or current.
10. Limitation of liability
To the maximum extent permitted by law, PORTIQA's total liability arising out of or in connection with these Terms or your use of the Service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or trading losses.
11. Indemnification
You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your data, or your use of the Service.
12. Termination
You may close your account at any time. We may suspend or terminate accounts for violation of these Terms, non-payment, or where required by law. Upon termination, your right to use the Service ends, and we will retain or delete your data per our Privacy Policy.
13. Changes to the Terms
We may update these Terms from time to time. Material changes will be announced at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which PORTIQA is registered, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction unless mandatory consumer-protection law requires otherwise.
